- Annex A — Jurisdiction-specific compliance notes
1. Who we are and how these Terms apply
1.1 These Terms and Conditions ("Terms") are a legally binding agreement between you ("you", "your", "Customer") and Leads Add, the operator of leadsadd.com (contact details in Section 25) ("LeadsAdd", "we", "us", "our").
1.2 These Terms govern your access to and use of the LeadsAdd browser extension, the LeadsAdd customer portal at leadsadd.com and lic.leadsadd.com, our licensing servers, documentation, support and any related services (together, the "Services").
1.3 Acceptance. You accept these Terms by doing any of the following: clicking "I agree" or a similar button; creating an Account; installing, activating or using the Software; or paying for a Subscription. If you do not agree, do not install or use the Services.
1.4 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have legal capacity to enter into a contract. The Services are intended for business and professional use only. If you use the Services on behalf of a company or other organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.
1.5 Other documents. Our Privacy Policy and Refund Policy form part of these Terms. If there is a conflict, these Terms prevail, then the Refund Policy, then the Privacy Policy. Descriptions on any app store, marketing page or social media do not form part of the contract.
2. Definitions
- "Account" means the registered user account you create on the Portal.
- "Applicable Law" means all laws, regulations, regulatory guidance, codes and court orders that apply to you, to your use of the Services, or to the individuals or businesses whose information you collect, in any jurisdiction, including those listed (non-exhaustively) in Annex A.
- "Extracted Data" means any information you collect, display, export or store by using the Software, including business names, addresses, telephone numbers, websites, email addresses, social-media links, ratings, categories, opening hours and similar listing details.
- "Fees" means the subscription and other charges for the Services as shown at checkout or on the Portal.
- "Licence" means the right to use the Software granted in Section 4.
- "Portal" means the LeadsAdd web application used for registration, sign-in, billing, licence management and support.
- "Software" means the LeadsAdd browser extension (currently published for Google Chrome and Chromium-based browsers such as Microsoft Edge), including all updates, versions and documentation.
- "Subscription" means a paid plan giving access to the Services for a recurring period.
- "Third-Party Source" means any website, map service, directory, search engine or other online service from which the Software reads information displayed in your browser, including Google Maps and the public websites of businesses.
3. What the Software does (and does not do)
3.1 The Software is a productivity tool. It reads information that is already publicly displayed on web pages that you open, in your own browser, while signed in to your own browser profile, and organises that information into a list that you can review and export.
3.2 All reading, filtering and exporting of Extracted Data happens locally on your device. The Software does not upload Extracted Data to us and we do not host, store, index, sell or have access to it. We are not a data broker, lead-list vendor or data provider.
3.3 The Software does not use our own credentials, API keys or servers to access any Third-Party Source. Every request to a Third-Party Source is made by your browser, from your device and IP address, under your own control.
3.4 No affiliation. LeadsAdd is an independent product. It is not affiliated with, endorsed by, sponsored by or otherwise connected to Google LLC, Alphabet Inc., Microsoft Corporation or any Third-Party Source. "Google", "Google Maps", "Chrome", "Microsoft" and "Edge" are trademarks of their respective owners and are used only to identify compatibility.
3.5 The Software does not provide legal, compliance, tax or professional advice. Nothing in the Services should be relied on as such.
4. Licence and restrictions
4.1 Grant. Subject to these Terms and payment of the Fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own internal business purposes during the term of your Subscription (or trial).
4.2 Seats and devices. Each Account is licensed for use on one browser installation signed in at a time, unless your plan states a different number. Signing in on a new device signs out the previous one. Additional seats must be purchased. Sharing one Account among several people is prohibited.
4.3 Restrictions. You must not, and must not permit anyone else to:
- copy, modify, translate, adapt or create derivative works of the Software;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms, selectors or licensing logic of the Software, except to the extent expressly permitted by non-waivable law;
- bypass, disable, tamper with or circumvent any licence check, device limit, rate limit, usage limit or other technical protection in the Software or Portal;
- share, sell, rent, lease, lend, sublicense, distribute or otherwise make the Software or your Account credentials available to any third party;
- use the Software to provide lead-generation, data-extraction or similar services to third parties as a bureau or reseller, unless we have agreed in writing;
- use the Software to build, train or improve a competing product;
- remove, obscure or alter any proprietary notice, trademark or label;
- operate the Software through automation, scripts or bots that go beyond its built-in user interface, or run multiple instances to multiply throughput;
- use the Software in any way that violates Section 7 (Acceptable use).
4.4 All rights not expressly granted are reserved by us. The Software is licensed, not sold.
5. Accounts and security
5.1 You must provide accurate, current and complete registration information and keep it updated.
5.2 You are responsible for keeping your password, one-time codes, authenticator secrets, licence keys and devices secure, and for everything that happens under your Account, whether or not you authorised it. Notify us immediately at [email protected] if you suspect unauthorised access.
5.3 We may require two-factor authentication, email verification or identity checks, and may refuse, suspend or close Accounts that we reasonably believe are fraudulent, duplicated, shared or in breach of these Terms.
5.4 The Portal and Software communicate with our licensing servers to verify your Account and Subscription status. The Software may not function while it cannot verify a valid licence.
6. Free trial, fees, billing and taxes
6.1 Trial. We may offer a free trial for the period shown at sign-up. One trial per person, organisation and device. We may shorten, extend, limit or withdraw trials at any time. Trial use is subject to these Terms in full.
6.2 Fees. Fees are stated at checkout. Unless stated otherwise, Fees are in the currency shown at checkout and exclude all taxes, duties and levies (including VAT, GST, sales tax and withholding tax), which will be added or must be borne by you as Applicable Law requires. If Applicable Law requires you to withhold any amount, you must gross up your payment so that we receive the full Fee.
6.3 Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You may cancel at any time from the Portal; cancellation takes effect at the end of the current paid period. You will not be charged again after cancellation.
6.4 Payment processing. Payments are processed by third-party payment providers (for example Mamo Pay or others we may appoint). Your use of their services is subject to their terms and privacy policies. We do not store full card numbers.
6.5 Failed payments. If a payment fails or is reversed, we may suspend or downgrade your access until payment is received, and may charge reasonable collection costs.
6.6 Chargebacks. If you initiate a chargeback or payment dispute without first contacting us, we may immediately suspend your Account and may treat the disputed amount, together with any processor fees, as a debt owed to us.
6.7 Price changes. We may change Fees for future billing periods by giving you at least 30 days' notice by email or on the Portal. Continuing your Subscription after the change takes effect means you accept the new Fees.
6.8 Refunds. Except as stated in our Refund Policy or required by non-waivable Applicable Law, all Fees are non-refundable and there are no refunds or credits for partial periods, unused seats, downgrades or periods in which you did not use the Services.
6.9 Consumer withdrawal rights. If you are a consumer in a jurisdiction that grants a statutory cooling-off or withdrawal right for digital content (for example the European Union or the United Kingdom), you expressly request that we begin supplying the Services immediately and acknowledge that you lose your right of withdrawal once supply has begun.
7. Acceptable use and your legal responsibilities
7.1 You are responsible for the data
You are the sole controller (or equivalent responsible party under Applicable Law) of all Extracted Data. We are not a controller, joint controller, processor, service provider or data broker with respect to Extracted Data, because we never receive it. You determine what to collect, why, and what you do with it, and you bear full responsibility for those decisions.
7.2 Data-protection compliance
You must comply with all Applicable Law relating to privacy and the protection of personal data in every jurisdiction that applies to you and to the people whose information you collect, including (without limitation) the laws listed in Annex A. In particular you must:
- have a lawful basis (such as legitimate interest, consent or contract) for collecting and using any personal data;
- collect only the minimum data necessary for a legitimate, specific and lawful purpose;
- provide any privacy notices required by law to the individuals whose data you process;
- honour requests from individuals to access, correct, delete, or object to the processing of their data, and honour opt-outs promptly;
- keep Extracted Data secure and delete it when it is no longer needed;
- not transfer personal data across borders in breach of Applicable Law;
- keep the records and perform the assessments (for example legitimate-interest or data-protection impact assessments) that Applicable Law requires.
7.3 Marketing, anti-spam and telemarketing compliance
If you use Extracted Data to contact anyone, you must comply with all Applicable Law on electronic marketing, telemarketing, SMS and messaging, including obtaining consent where required, identifying yourself truthfully, providing a working unsubscribe or opt-out mechanism, honouring opt-outs promptly, respecting national do-not-call / do-not-disturb registers, not using misleading subject lines or sender information, and observing any calling-hour or frequency restrictions.
7.4 Third-Party Source terms
You acknowledge that Third-Party Sources (including Google Maps and individual business websites) publish their own terms of service, robots directives and usage policies, some of which may restrict or prohibit automated access, data collection or particular uses of their content. You are solely responsible for reviewing and complying with the terms of every Third-Party Source you use the Software with. We make no representation that your use of the Software is permitted by any Third-Party Source. You use the Software with Third-Party Sources entirely at your own risk, and you accept that a Third-Party Source may, without notice, block, limit, challenge (for example with CAPTCHAs), suspend or take action against you, your IP address or your accounts with that Third-Party Source.
7.5 Prohibited uses
You must not use the Services, or any Extracted Data, to:
- break any Applicable Law, or help anyone else to do so;
- send spam, unsolicited bulk messages, robocalls or any communication that violates anti-spam or telemarketing law;
- harass, stalk, threaten, defame, intimidate or discriminate against any person;
- commit or facilitate fraud, phishing, identity theft, impersonation or deceptive practices;
- collect or process information about anyone under 18, or knowingly collect data from pages directed at children;
- collect or process special or sensitive categories of personal data (such as health, religion, political opinions, ethnicity, sexual life, biometric or genetic data, criminal records, or precise location of individuals);
- build profiles of private individuals, or make decisions about individuals that produce legal or similarly significant effects;
- sell, license or otherwise trade raw personal data, or act as a data broker, where Applicable Law prohibits or regulates this without your having complied with that regulation;
- access any non-public, password-protected, paywalled or logged-in area of a Third-Party Source that you are not authorised to access, or access any computer system without authorisation;
- circumvent, disable or interfere with any technical measure of a Third-Party Source (including rate limits, CAPTCHAs, IP blocks or bot detection) by any means, including proxies or IP rotation intended to evade blocks;
- place an unreasonable load on any Third-Party Source, or interfere with its normal operation;
- introduce malware or malicious code, or attempt to gain unauthorised access to our systems;
- use the Services for any purpose that is contrary to public order, public morals or the security interests of any state in which you use them, or that is prohibited by Applicable Law (including cybercrime, telecommunications and anti-spam laws of the Middle East and North Africa region and elsewhere);
- misrepresent the source of Extracted Data, or claim that any Third-Party Source endorses you or your business.
7.6 Fair use and rate limits
We may apply reasonable rate, volume or concurrency limits to protect Third-Party Sources, our infrastructure and other customers, and may adjust these without notice. You must not attempt to exceed or defeat them.
7.7 Accuracy of Extracted Data
Extracted Data reflects whatever a Third-Party Source displayed at the moment of collection. It may be incomplete, inaccurate, out of date or mis-parsed. We do not verify it and give no guarantee of its accuracy, completeness, currency or fitness for any purpose. You must verify Extracted Data before relying on it, and you rely on it at your own risk.
7.8 Monitoring and cooperation
We do not monitor Extracted Data (we cannot, because we never receive it). We may, however, monitor licence and usage metadata for security, billing and abuse prevention. If we receive a credible complaint from an individual, a Third-Party Source or an authority about your use of the Services, you agree to cooperate with us in good faith to resolve it.
8. Sanctions and export control
8.1 You represent that you are not located in, organised under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions or embargoes under the laws of the United Arab Emirates, the United Nations, the United States, the European Union or the United Kingdom, and that you are not listed on, or owned or controlled by anyone listed on, any sanctions or restricted-party list maintained by those authorities.
8.2 You must comply with all applicable export-control and sanctions laws and must not use, export or re-export the Software in breach of them. We may refuse or terminate service where we believe a sanctions or export risk exists.
9. Our data practices
9.1 We collect the limited information needed to run your Account and Subscription: your name, email address, hashed password, authenticator and one-time-code data, billing records, licence status, extension version, a device label for the browser you are signed in on, IP address, and technical event data (for example licence checks and error reports). Our Privacy Policy explains this in full.
9.2 We do not collect, receive, store or process Extracted Data. It stays in your browser and in whatever files you choose to export.
9.3 We may use aggregated and anonymised diagnostic data to improve the Services.
9.4 Sign-in codes and account notices are sent to the email address on your Account.
10. Third-party services and distribution platforms
10.1 The Software is distributed through third-party platforms such as the Microsoft Store. Those platforms have their own terms and policies that also apply to you. We do not control those platforms and cannot guarantee that the Software will remain listed on them. If a listing is removed, we may provide an alternative installation method at our discretion.
10.2 The Services rely on third-party providers (for example payment processors, email delivery, hosting). We are not responsible for the acts, omissions, availability or security of third-party services.
10.3 Any links to third-party websites are provided for convenience only. We do not endorse them and are not responsible for their content or practices.
11. Changes to third-party websites, updates and availability
11.1 The Software depends on the structure and behaviour of Third-Party Sources, which are outside our control and change without notice. A change by a Third-Party Source may cause some or all features of the Software to work incorrectly, partially or not at all, temporarily or permanently. We will use commercially reasonable efforts to restore affected features, but we do not guarantee that any feature will continue to function, and the loss, reduction or delay of any feature caused by a Third-Party Source does not entitle you to a refund, credit or damages.
11.2 We may release updates automatically. Updates may add, change or remove features. You must install updates to keep using the Services. We are not obliged to support old versions.
11.3 We may modify, suspend or discontinue any part of the Services at any time. If we discontinue the Services entirely during a period you have already paid for, we will refund the unused portion of your prepaid Fees pro rata, and that refund is our sole liability for discontinuation.
11.4 We do not guarantee that the Services will be uninterrupted, timely, secure or error-free, and we may perform maintenance that interrupts access.
12. Intellectual property
12.1 The Software, Portal, documentation, trademarks (including "LeadsAdd" and "LEADS ADD"), logos and all related intellectual property are owned by us or our licensors and are protected by copyright, trademark and other laws worldwide.
12.2 Your data. As between you and us, you retain whatever rights you have in Extracted Data. We claim no ownership of it, but we make no warranty that you have, or can obtain, any rights in it.
12.3 Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without obligation to you.
12.4 Nothing in these Terms transfers any ownership to you or grants any licence except as expressly stated.
13. Confidentiality
You must keep confidential any licence keys, non-public features, pricing offered privately to you and any other non-public information about the Services, and must not disclose them except as required by law.
14. Disclaimer of warranties
To the fullest extent permitted by Applicable Law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or non-interference.
Without limiting the above, we do not warrant that: (a) the Services will meet your requirements or produce any particular number or quality of leads, sales or revenue; (b) Extracted Data is accurate, complete, current or lawful to use for your purposes; (c) your use of the Services complies with the terms of any Third-Party Source or with Applicable Law in your jurisdiction; (d) the Services will be available, uninterrupted, secure or error-free; or (e) any defect will be corrected. Any advice or information obtained from us does not create any warranty not expressly stated here.
15. Limitation of liability
To the fullest extent permitted by Applicable Law:
15.1 Excluded losses. We and our affiliates, officers, directors, employees, contractors, distributors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, data or anticipated savings, or for the cost of substitute services, however caused and under any theory of liability (contract, tort including negligence, statute or otherwise), even if advised of the possibility of such damages.
15.2 Third-Party Sources. We are not liable for any act or omission of a Third-Party Source, including any blocking, throttling, CAPTCHA, suspension or closure of your accounts or IP addresses, any change that breaks a feature, or any claim, demand or legal action a Third-Party Source brings against you.
15.3 Your use of data. We are not liable for any claim, fine, penalty, demand or loss arising from your collection, use, storage, sharing or communication of Extracted Data, including claims by individuals, businesses, regulators or authorities.
15.4 Cap. Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the Fees you paid to us in the twelve (12) months immediately before the event giving rise to the claim, and (b) one hundred US dollars (USD 100).
15.5 Non-excludable liability. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Applicable Law, such as liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct where such exclusion is not permitted.
15.6 Time limit. To the extent permitted by law, any claim against us must be brought within twelve (12) months after the cause of action arises, or it is permanently barred.
15.7 Basis of the bargain. You acknowledge that the Fees reflect this allocation of risk and that we would not provide the Services on these Fees without these limitations.
16. Indemnification
16.1 You agree to defend, indemnify and hold harmless LeadsAdd and its affiliates, officers, directors, employees, contractors, distributors, licensors and agents (the "Indemnified Parties") from and against all claims, demands, investigations, proceedings, losses, damages, fines, penalties, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to:
- your access to or use of the Services or Extracted Data;
- your breach of these Terms or of Applicable Law;
- your breach of the terms, policies or rights of any Third-Party Source;
- any marketing, sales or other communication you send using Extracted Data;
- any claim by an individual, business, regulator, authority or Third-Party Source relating to data you collected or how you used it;
- any act or omission of anyone who uses your Account or your exported data.
16.2 We will notify you promptly of any claim (delay does not relieve you except to the extent it prejudices you), may participate with our own counsel at our expense, and you may not settle any claim that imposes obligations on or admits fault by an Indemnified Party without our written consent.
17. Suspension and termination
17.1 By you. You may cancel your Subscription at any time from the Portal. Cancellation takes effect at the end of the current paid period. You may close your Account at any time; closing an Account does not entitle you to a refund.
17.2 By us. We may suspend or terminate your Account, Subscription or access to the Services, with or without notice, if: (a) you breach these Terms; (b) you fail to pay Fees when due; (c) we reasonably believe your use creates legal, security, reputational or operational risk for us, a Third-Party Source or others; (d) a Third-Party Source, payment provider, distribution platform or authority requires or requests it; (e) we are required to by law or sanctions; or (f) you have been inactive for an extended period on a free plan or trial.
17.3 Effect. On termination: your Licence ends immediately; you must stop using and uninstall the Software; any amounts you owe become immediately due; and no refund is payable, except that if we terminate for our convenience and not for any reason in Section 17.2 we will refund the unused portion of prepaid Fees pro rata. You remain responsible for Extracted Data you have already exported.
17.4 Survival. Sections 2, 4.3, 4.4, 6 (as to amounts owed), 7, 8, 9, 12, 13, 14, 15, 16, 17.3, 17.4, 18, 20, 21, 23, 24 and Annex A survive termination.
18. Requests from authorities
We may disclose Account information (but not Extracted Data, which we do not hold) to courts, regulators, law-enforcement or other authorities where we believe in good faith that disclosure is required by law or necessary to protect our rights, the rights of others or the security of the Services. Where lawful and practicable, we will try to notify you before doing so.
19. Consumer rights notice
The Services are designed for business use. If, despite this, you are treated as a consumer under mandatory law in your jurisdiction (for example under the UAE Consumer Protection Law, EU or UK consumer law, or the Australian Consumer Law), then nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy you have under that law that cannot lawfully be excluded, and the exclusions and limitations in Sections 14, 15 and 20 apply only to the extent permitted by that law.
20. Governing law and dispute resolution
20.1 Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes), are governed by the laws of the country in which Leads Add is established (as stated on leadsadd.com or in Section 25), without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.2 Talk to us first. Before starting any formal proceeding, you agree to send a written description of the dispute to [email protected] and to negotiate in good faith for at least thirty (30) days.
20.3 Arbitration. Any dispute not resolved under Section 20.2 will be finally settled by binding arbitration before a single arbitrator, administered by a recognised arbitration institution in the country referred to in Section 20.1 under its rules in force at the time of the request for arbitration, with that country as the seat of arbitration and English as the language of the arbitration. If arbitration is not available for the dispute, the courts of that country have exclusive jurisdiction. The award is final and may be enforced in any court of competent jurisdiction.
20.4 Injunctive relief. Either party may seek interim, injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights, confidential information or licence compliance, without first following Sections 20.2 and 20.3.
20.5 Individual claims only. To the fullest extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective or representative proceeding.
20.6 Consumers. If you are a consumer with a non-waivable right under Applicable Law to bring or defend proceedings in the courts of your country of residence, or to have the law of that country apply, nothing in this Section 20 deprives you of that right.
21. Language
These Terms are written in English. Any translation (including into Arabic or any other language) is provided for convenience only. If there is any inconsistency, the English version prevails to the extent permitted by Applicable Law.
22. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least fourteen (14) days' notice by email to the address on your Account or by a notice in the Portal or Software before the change takes effect. If you do not agree with a change, you may cancel your Subscription before it takes effect; continued use after that date means you accept the updated Terms. The "Last updated" date at the top shows the current version.
23. Notices
We may give you notice by email to the address on your Account, by a message in the Portal or Software, or by posting on our website. Notice is deemed received when sent (email) or posted. You may give us notice at [email protected]. Legal notices must be in English.
24. General provisions
- Entire agreement. These Terms (with the Privacy Policy and Refund Policy) are the entire agreement between you and us about the Services and supersede all prior agreements, representations and understandings.
- Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder will continue in full force.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign or transfer these Terms or your Account without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of Third-Party Sources, internet or hosting failures, war, terrorism, civil unrest, epidemic, governmental action, sanctions, natural disaster or labour dispute.
- Independent parties. Nothing creates a partnership, joint venture, agency, franchise or employment relationship.
- Third-party beneficiaries. Except for the Indemnified Parties under Section 16, there are no third-party beneficiaries of these Terms.
- Electronic contracting. You agree that these Terms and all related records may be concluded and kept electronically and that electronic acceptance has the same effect as a handwritten signature.
- Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation".
